These terms and conditions for the Not Your Average Goal Setting Workshop (“Workshop”) (“Workshop Terms”). These Workshop Terms are subject to the Terms of Use, Privacy Policy, and other terms or regulations governing www.mariposastrategies.com (collectively, “Website Terms”) and are incorporated herein by reference. If there is any conflict or contradiction between these Terms and any Website Terms, these Terms shall govern.

The purpose of these Workshop Terms is to explain the terms and conditions you agree to by purchasing access to the Workshop recorded by Soulful Services, LLC (“Company”, and commonly known as “Mariposa Strategies”).

WARRANTIES

You warrant and represent:

You have the legal capacity to understand, agree to and abide by these Workshop Terms; and
You are not violating any law or committing breach of any other agreement with a third party by agreeing to these Workshop Terms.

The Company does not make any expressed or implied warranties, guarantees, or representations of any kind or nature with respect to the outcomes of your participation in the Workshop.

In consideration of the services described herein and of the mutual benefits and obligations described in these Workshop Terms, and other valuable consideration the receipt and sufficiency of which are acknowledged, you understand and agree to be abound by and comply with the following terms and conditions:

Scope of SERVICES

By submitting payment for the Workshop, you will receive the following:

1 Pre-recorded virtual workshop that is 1 hour 23 minutes in length, and
Resources, such as worksheets and documents that you have permission to download for personal use. Resources are permitted to change at the discretion of the Company.

In order to receive access to the pre-recorded virtual workshop and resources, you understand it is your responsibility to create an account on this website at https://www.mariposastrategies.com/goal-setting-welcome, and to confirm your account via the confirmation email that is sent to you after creating an account, and to login into your account on this website in order to view the Workshop and Resources. You will not receive a downloadable workshop to own on your personal device, your access is limited to your account on this website.

Relationship

You understand your relationship with the Company is exclusively transactional and limited to your providing payment for the Workshop and the Company providing access to the Workshop.

You will not be receiving any formal private coaching or other products or services offered by the Company other than what is stated above. If you wish to purchase other products or engage in other Services offered by the Company you must enter into a separate agreement.

PAYMENT & PAYMENT POLICIES

Payment for the Workshop is $175 and must be made in full at the time of purchase.

Due to the nature of virtual products and downloadable resources, refunds will not be issued for payments made.

TESTIMONIALS

If you provide a written or video testimonial after the Workshop, you consent to the use of your testimonial by the Company for business purposes including the use of your testimonial, name and photograph (if you provide them) on the Company websites, social media, products, training materials, workshops, and at public events.
The Company reserves the right to edit your testimonial and/or not use your testimonial at our discretion.
You understand that removal of your testimonial from digital and physical products that are already in existence, have been consumed or are in circulation, may not be possible.

TECHNOLOGY

You consent to the use of technology provided to access the Workshop.
You are responsible for becoming familiar with the Privacy Policies and Terms of Use of any third party program or application used before using them. The Company reserves the right to add or switch use of third party programs and applications to facilitate delivery of the Workshop at any time and with or without notice to you.
You understand we do not monitor or exercise any control over these third party programs and applications. We provide access to such third party programs and applications “as is” at all times without any warranties and representations.
Our use of these third party programs and applications does not constitute an endorsement of them.
We shall have no liability whatsoever arising from or relating to your use of these third party programs and applications.

CONFIDENTIALITY

Any information provided by you including, but not limited to, personally identifiable information, notes, assignments, other documents and recordings shall be kept confidential by the Company and will not be shared with a third party without your written permission.
Confidential Information does not include information that is generally known to the public; is obtained by either Party from a third party, without breach of any obligation to You or another person; must be disclosed in order to comply with law enforcement or a valid court order; is necessary to act to protect the safety of the public or another person; is disclosed to the Company and as a result of such disclosure we reasonably believe there to be an imminent or likely risk of danger or harm to you or others; or involves illegal activity.

DISCLAIMERS

You understand the Workshop is not a replacement for advice provided by a licensed professional such as therapy, legal, financial, business, and medicine as well as any professional diagnosis, opinion, or treatment.
The Company does not guarantee any particular outcome, result, or transformation professionally, personally, or otherwise.
The information, services, products, claims, workshop topics, and materials delivered to you are provided “as is” and without warranties of any kind, either expressed or implied.
We disclaim all warranties including, but not limited to, implied effectiveness of the ideas or success strategies facilitated through the Workshop

TERM & TERMINATION

The Workshop shall commence on the date of purchase and be available ongoing, unless the terms change. If terms change (for example, the Workshop is removed) you will be notified in advance via email.

INTELLECTUAL PROPERTY

The content provided in the Workshop are the intellectual property of the Company which include, but are not limited to, the pre-recorded virtual workshop, coined phrases, terminology, frameworks, worksheets, materials, program names, slogans, logos, and any other material subject to protection by trademark or copyright law. The Company does not grant you any license to use our intellectual property under these Workshop Terms. You agree not to share, duplicate or make commercial use of any intellectual property without our prior written consent.

FORCE MAJEURE

In the event the Company is unable to perform under these Workshop Terms due to circumstances beyond its reasonable control, including but not limited to embargo, trade disputes, epidemic, dust storms, floods, pandemics including COVID-19, quarantines, government regulations, war, riots, earthquakes, hurricanes, lightning, work disputes and mass strikes, acts of God, and technical difficulties, as well as other circumstances of events outside of its control, the Company shall not be held liable for any failure or delay of performance of their obligations under these Workshop Terms.

In the event of a Force Majeure occurrence, the Company will exercise its best efforts to facilitate access to the Workshop, including issuing a refund if the Company deems it necessary.

LIMITATION OF LIABILITY

THE COMPANY LIMITS ITS LIABILITY TO THE EXTENT PERMITTED BY THE LAW, AND WILL NOT BE LIABLE FOR DAMAGES OF ANY KIND INCLUDING, BUT NOT LIMITED TO LOST PROFITS, REVENUE OR SAVINGS; LOSS OF DATA; COSTS OF ANY KIND; OR SIMILAR DAMAGES AS IT RELATES TO THE WOCCC AND THE COHORT. IN NO EVENT SHALL THE COMPANY BE LIABLE TO YOU FOR ANY CLAIMS EXCEEDING THE AMOUNT PAID FOR UNDER THESE TERMS.

INDEMNIFICATION

You agree to defend, indemnify and hold harmless the Company and its agents from and against all third party claims, liabilities, losses, damages, costs, expenses, judgments or penalties arising out of or related to the Workshop or these Workshop Terms, including, but not limited to, any acts, messages, communications or events, or the impacts thereof, where you are found to act with negligence, gross negligence, fraud or intent.

ADDITIONAL TERMS

Over the Age of 18: By purchasing the Workshop, you certify you are over the age of 18 or have your parent or guardian’s permission to agree to these Terms.
Governing Law. These Terms shall be construed and governed by the laws of the state of New Mexico without regard to principles of conflicts of law.
Notices. All notices referenced in these Terms shall be made to the other Party in writing.
Days: All days referenced under these Terms are calendar days unless otherwise stated.
No Waiver. The failure of a party to require strict performance of any provision under these Terms by the other shall not be construed as a waiver or preclusion by such party of any right or remedy.
Assignment. Any attempt to assign or transfer the obligations under these Terms, in part or in full, without the written consent of Mariposa Strategies shall be void.
Time is of the Essence. You hereby understand and acknowledge that prompt and timely performance of their obligations under these Terms is required.
Attorneys Fees. The Parties shall be responsible for their own attorneys’ fees.
Severability. The invalidity or unenforceability of any provision under these Terms does not affect the validity or enforceability of any other provision.
Modifications. These Terms may not be amended or modified, in whole or in part, except by an express writing signed by the Parties.
Headings. The headings under these Terms are for organization only and shall not limit or otherwise affect the meaning of any provision.

ENTIRE AGREEMENT

These Workshop Terms constitute the entire understanding between the Parties as it relates to the Workshop. You acknowledge that you have read and understand the Workshop Terms contained herein and agree to them. These Workshop Terms supersede all prior agreements, representations, or understandings whether written, oral, implied, or otherwise between you and the Company
