Introduction
By signing up for Back Pocket Guidance (“BPG”), a virtual coaching service provided by Soulful Services, LLC (“Mariposa Strategies”, “we,” “us,” “our”, or “company”), Client (“participant”, “you”) agree to the following Terms and Conditions (“Terms”).
Entire Agreement
This document reflects the entire agreement between our company and you and reflects a complete understanding of the parties with respect to the subject matter. These terms supersede all prior written and oral representations.
Accuracy Of Billing And Account Information
You agree to provide current, complete and accurate purchase and account information for all purchases made on our website. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
We reserve the right to refuse any purchase or order you place with our company.
Policies
Refund: All of your payments — including deposits — are non-refundable.
Transfer: BPG services are non-transferrable.
Postponement: Once you have made your payment, BPG services begin and cannot be postponed.
Back Pocket Guidance Details
BPG is a walkie-talkie and text-based private, virtual coaching service with Annie Sanchez, CEO of Mariposa Strategies. Using a framework designed to provide you with custom, personal guidance, also known as coaching, on situations that arise in your life and/or work on an as-needed basis.
BPG is designed for of-the-moment flexibility and therefore conducted via Voxer, a walkie-talkie and text application (app) through your cell phone and the internet (web-based browser functionality available at Voxer.com).
Voxer offers a free version, through which BPG can be conducted. If you choose to use the paid version of Voxer, you make that choice on your own accord and the cost of the pro-leave application is your responsibility outside of these BPG Term and your investment in BPG.
Support When You Need It
Under these Terms, you will receive BPG for up to one (1) hour per week for three (3) months.
You can send messages via Voxer anytime for situations as they arise and will a response within 24 hours.
You can receive live Voxer coaching during weekly office hours, Tuesdays from 4:00pm - 6:00pm Mountain Timezone. In the event there is a change in weekly office hours, you will be notified by email in advance.
Communication Limitations
You will be able to send messages to Annie anytime. You will receive a response between the hours of 10am and 6pm MT throughout the terms of your payment agreement. You can count on a live, back and forth exchange with Annie on Tuesdays from 4pm-6pm MT.
In the event communication from you becomes inordinately high and/or exceeds the allotted one (1) hours per week, we reserve the right to restrict and/or reduce the amount of BPG support available to you for the number of months left in your payment agreement and/or terminate BPG support all together.
You will be responsible for any unpaid balances under the terms of your payment agreement.
additional Guidance Sessions (“fire sessions”)
Fire Sessions are available outside of these Terms and only available to current and existing clients. These sessions are paid for at the time of scheduling.
Confidentiality
All information shared by you will be handled with utmost confidentiality; never will identifying information about you be disclosed without your consent.
You acknowledge that you have an ongoing obligation to raise any confidentiality questions or concerns in a timely manner.
Confidential information does not include information that:
Is generally known to the public or within your industry;
Is independently developed by Mariposa Strategies without use of or reference to your confidential information;
Mariposa Strategies is required to comply with the law or any lawful requests for information, or to protect and defend her rights; or to act under exigent circumstances to protect the safety of the public;
Is disclosed, and as a result of such disclosure, there is reasonable belief to be an imminent or likely risk of danger or harm to you or others; or
Involves illegal activity.
Testimonials
If you elect to provide a written or verbal testimonial and/or a photograph of yourself, (collectively, your “testimonial”), your name and/or photograph may be shared publicly on our websites, social media and/or on products, training materials used in workshops, or at public events.
If at any time you would like your testimonial removed, you have an obligation to contact us and reasonable efforts, in good faith, will be taken to remove your testimonial as soon as possible.
If you request for your testimonial to be removed from a product, efforts will be made to remove it from any and all future production, but removal from products already in existence and/or circulation will not be possible.
We reserve the right to modify, shorten, add clarifying language, or delete your testimonial at any time from our websites, social media, products and/or materials, and makes no guarantee to notify you before or after taking any of these actions.
Limitation of Liability, Disclaimer and Warranties
Under no circumstances, including but not limited to negligence, will we be liable for injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from the use of, or the inability to use, the services, products, or material information provided to you under these Terms or by your use of our websites, products or services even if advised of the possibility of such damages.
Under no circumstances do we make any guarantees, representations or warranties of any kind or nature with respect to the outcomes under these Terms, negotiated, agreed upon and rendered, either expressed or implied.
The information, services, products, claims, and materials delivered through this Agreement are provided “as is” and without warranties of any kind, either expressed or implied. We disclaim all warranties, expressed or implied, including but not limited to implied effectiveness of the ideas or success strategies listed on our websites as well as those that are provided through our services, products or workshops.
Indemnification
You agree to indemnify, defend and hold harmless our company, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these terms or your violation of any law or the rights of a third-party.
Waiver
Our failure of to exercise or enforce any right or provision of these terms shall not constitute a waiver or limitation of such right to subsequently enforce and compel strict compliance with every provision of these terms.
Optional Tools
We may provide you with access to third-party tools over which we neither monitor nor have any control or input. You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools that we may link to.
Any use by you of optional tools linked to through our websites is entirely at your own risk and initiative, and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
Minor Children
Our websites are not directed to children under the age of 13. We do not knowingly provide services or collect personally identifiable information from children under 13 and we request that they not engage in our services or provide us with their personal information.
Explicit Language & Mature Content
On our websites we occasionally discuss mature topics and use language relating to personal and professional growth that may include explicit language or “curse words.” Users who are uncomfortable with such topics or language should not use our websites.
EFFECT OF HEADINGS
The subject headings of the paragraphs and subparagraphs of these Terms are included for convenience only and shall not affect the construction or interpretation of any of its provisions.
Applicable Law
These terms and conditions will be governed by and construed in accordance with the laws of the State of New Mexico, without regard to any principles of conflicts of law. You agree that any action at law or in equity that arises out of or relates to these terms will be subject to mediation in the State of New Mexico.
