Terms & Conditions
These terms are subject to change at any time and at our sole discretion.

INTRODUCTION
These terms and conditions for The Culture Club (“TCC” “Membership”) (“Terms”) is entered into by Soulful Services, a New Mexico corporation (“Mariposa Strategies” “we” “us” “our” “the Company”) and you (“Client” “you” and “your”), collectively, the Parties or individually, a Party, effective upon your purchase.
These Terms are subject to the Terms of Use, Privacy Policy, and other terms or regulations governing www.mariposastrategies.com (collectively, “Website Terms”) and are incorporated herein by reference. If there is any conflict or contradiction between these Terms and any Website Terms, these Terms shall govern.
WARRANTIES
You warrant and represent:
You have the legal capacity to understand, agree to and abide by these Terms;
You are not violating any law or committing breach of any other agreement with a third party by agreeing to these Terms; and
You have the financial resources to commit to the terms and conditions under these Terms.
Mariposa Strategies:
Warrants they have the skill, knowledge, and expertise to deliver the contents of TCC subject to these Terms; and
Does not make any expressed or implied warranties, guarantees, or representations of any kind or nature with respect to the outcomes of your participation in TCC.
In consideration of the services described herein and of the mutual benefits and obligations described in these Terms, and other valuable consideration the receipt and sufficiency of which are acknowledged, the Parties agree to be bound by and comply with the following terms and conditions:
SERVICEs
By submitting payment, you understand you will receive the following:
One Year of Membership in The Culture Club. All participants in TCC are referred to as "members.” You will be considered a member for one year starting on the date for the membership enrollment period in which you sign up and make your payment as is reflected on our website at www.mariposastrategies.com/the-culture-club.
Group Gatherings:
You must have access to a webcam, wifi or telephone to participate in live, scheduled gatherings conducted via Zoom.
Group gatherings are recorded and made available via a private portal for TCC, and a private podcast.
You agree not to download, screen record, duplicate, share or otherwise manipulate the recordings in a manner that would allow you or others to access the records outside of the private portal or private podcast.
Membership Site: All participants of The Culture Club will have access to an online membership site (or “portal”) containing resources including but not limited to, session recordings, documents related to sessions, bonus coaching materials and member communication forum. You will be required to log in to the portal to access the resources and agree to keep your login credential confidential.
Your RESPONSIBILITIES
You understand your client relationship with Mariposa Strategies is a professional one designed to support you in developing goals for your life. This relationship requires you to do the following in order to execute these Terms and make the most out of your membership in The Culture Club:
Comply with these Terms at all times;
Attend and engage in all group sessions for the full duration of your membership;
Decide how to incorporate guidance principles into the applicable areas of your life along with making any necessary choices;
Take accountability for your decisions, actions, inaction, results or lack of results;
Communicate with us in a timely manner;
Make successful payments on time;
Schedule your private sessions (if relevant) in a timely manner;
Complete and participate in any group or solo activities, exercises, assessments, or assignments;
Keep your name, phone number, address, email, and other contact information updated with Mariposa Strategies at all times;
Abide by the communications policy herein; and
Respect and keep confidential the information learned and shared in TCC and by other participants.
COMMUNICATION
All TCC communication is conducted through email at this time.
You agree to communicate with us about your membership in TCC via email and send to annie@mariposastrategies.com. Emails will be responded to within two business days.
Communication from us is subject to any office closures which you will be notified of in advance.
In the event your communication becomes inordinate, such as long or excessive email messages, as determined by us, we reserve the right to restrict your communication with notice to you.
If you use any form of communication for your participation in TCC other than email to communicate with us, but not limited to text message, Instagram, Facebook, LinkedIn or other social media and chat platforms, you should not expect to receive a response.

You will be eligible to receive the services listed above in addition to any of the benefits below based on your membership level.
Founding Enrollment: May 16-21, 2025
Annual membership. You will be charged $500 one time or $45 at the time of purchase and then 11 times monthly based on your selection on the payment page. You understand that a monthly payment plan is an annual membership and not a monthly membership. If you choose to cancel your membership before your annual membership is complete, you agree to pay $45 per month for the duration of your 12-month term or pay off your balance in one lump payment.
Membership renewal. You understand that you are signing up for a 12-month membership and will have the option to renew at the Founding Enrollment price. Note, if you do not renew after one year and choose to rejoin TCC at a future date, you will be subject to the open enrollment price at that time.
Bonus. If you select the payment in full option (or, “One-Time Payment”) for your annual membership, you will receive a bonus gift in the Fall of 2025. To receive your gift, you must include your mailing address at the checkout stage of your enrollment or provide it to us at Annie @ mariposastrategies.com.
Open Enrollment
Annual membership. You will be charged $595 one time or $52 at the time of purchase and then 11 times monthly based on your selection on the payment page. You understand that a monthly payment plan is an annual membership and not a monthly membership. If you choose to cancel your membership before your annual membership is complete, you agree to pay $52 per month for the duration of your 12-month term or pay off your balance in one lump payment.
Membership renewal. You understand that you are signing up for a 12-month membership and will have the option to renew at the Open Enrollment price you paid so long as your membership remains in good standing. Note, if you do not renew after one year and choose to rejoin TCC at a future date, you will be subject to the open enrollment price at that time.
Bonus. If you select the payment in full option (or, “One-Time Payment”) for your annual membership, you will receive a bonus gift in the Fall of 2025. To receive your gift, you must include your mailing address at the checkout stage of your enrollment or provide it to us at Annie @ mariposastrategies.com.
PAYMENT POLICIES
Payment may be made via one of the options on the payment page at your selection are subject to the payment terms described, which are incorporated into these Terms by reference.
Transfer & Postponement
If after your purchase of a membership you are unable to participate in TCC, you may request to transfer your payment to other services offered by Mariposa Strategies or to apply your membership payment the next membership cycle. We reserve to right to grant your request or not.
You agree to submit your request in writing via email per the communications policy in these Terms.
Mariposa Strategies does not guarantee or make any representations or promises that other services, events, and programs you may be interested in will be available at the time of your request to transfer. You will have 90 days to apply your payment to another service.
You must notify Mariposa Strategies of your desires to transfer your payment(s) as soon as possible but no more than 14 days from the date of your purchase.
Transfer of payment(s) to other people is not permitted.
Late Payments
We reserve the right to pause or terminate your participation in TCC, in our sole discretion, in the event you fail to make a successful payment, including payment disruptions not by Mariposa Strategies, after 3 days of the payment due date. You understand that late and unsuccessful payments result in you risking participation in TCC.
Payment Disputes
Any disputes related to payment must be made within 24 hours of you receiving a payment receipt or as soon as you are aware a payment dispute has arisen including, but not limited to, inaccurate invoices, unauthorized charges, refunds, cancellations, and chargebacks.
To initiate a payment dispute with Mariposa Strategies, submit the subject of your dispute and the date you became aware of the dispute in an email to annie@mariposastrategies.com.
Mariposa Strategies reserves the right to resolve payment disputes in accordance with the Dispute Resolution policy under these Terms or to submit this dispute to mediation in its sole discretion depending on the circumstances.
Payment disputes may result in a pause of your participation in TCC if necessary to resolve the dispute in an amicable fashion.
In the event you want to engage in a chargeback process, you agree to first engage in an informal, good faith dispute resolution attempt between you and Mariposa Strategies for 14 days.
Cancellations & Refunds
Both Parties have the right to cancel your participation in TCC at anytime with written notice. You agree to give Mariposa Strategies 30 days’ notice of your desire to cancel in order to ensure your payment method is not charged for any additional renewals.
Under no circumstances will refunds be issued for payments made.
Billing & Account Information
You agree to provide current, complete and accurate payment information to complete your purchase.
You agree to promptly update your account, payment information, and contact information as needed to complete transactions related to TCC by contacting Annie directly via email: annie@mariposastrategies.com.
We reserve the right to refuse any purchase you make with Mariposa Strategies.
RECORD RETENTION POLICY
Mariposa Strategies retains documents, client information, recordings, surveys, assignments, and data acquired or shared by you pursuant to these Terms for at least 6 months but not more than 10 years for research and business purposes. In no event will your records be shared with any person that is not an agent or partner of Mariposa Strategies or who doesn’t sign a confidentiality agreement. Should we use your client experience for research purposes, your identity will remain confidential.
TESTIMONIALS
If you provide a written or video testimonial, you consent to the use of your testimonial by Mariposa Strategies for business purposes including the use of your name and photograph on Mariposa Strategies websites, social media, products, training materials, workshops, and at public events.
Mariposa Strategies reserves the right to use a photo of your choosing or one that is publicly available.
Please contact Mariposa Strategies in the event you wish to revoke consent of use of your testimonial. We will remove the testimonial from our public platforms as soon as reasonably possible under the circumstances. You understand that removal of your testimonial from digital and physical products that are already in existence, have been consumed or are in circulation, may not be possible.
TECHNOLOGY
You consent to the use of technology provided by third parties that is necessary to facilitate TCC and engage as a participant including, but not limited to, video conferencing and recording devices and programs.
You are responsible for becoming familiar with the Privacy Policies and Terms of Use of any third party program or application used before using them. Mariposa Strategies reserves the right to add or switch use of third party programs and applications to facilitate TCC at any time
You understand we do not monitor or exercise any control over these third party programs and applications. We provide access to such third party programs and applications “as is” at all times without any warranties and representations.
Our use of these third party programs and applications does not constitute an endorsement of them.
We shall have no liability whatsoever arising from or relating to your use of these third party programs and applications.
CONFIDENTIALITY
Any information provided by you including, but not limited to, personally identifiable information, notes, assignments, other documents and recordings shall be kept strictly confidential by Mariposa Strategies and will not be shared with a third party without your written permission.
Confidential Information does not include information that is generally known to the public; is obtained by either Party from a third party, without breach of any obligation to You or another person; must be disclosed in order to comply with law enforcement or a valid court order; is necessary to act to protect the safety of the public or another person; is disclosed to Mariposa Strategies and as a result of such disclosure we reasonably believe there to be an imminent or likely risk of danger or harm to you or others; or involves illegal activity.
Group Confidentiality:
You understand that TCC is conducted in a group setting and your duty of confidentiality therefore extends to other individuals.
You agree to keep all information shared by other participants of TCC including, but not limited to, expert presentations, stories, examples (real or hypothetical), identifying information of participants, communications and all other material whether written, oral or in other form, that is shared in group settings and/or through current or future technology platforms used to facilitate TCC including but not limited to group chats, text threads and membership portals.
You agree to work with participants of TCC to establish a set of collective agreements intended to protect and serve each other’s needs while in group settings.
You understand that although Mariposa Strategies strives to provide a safe environment for all participants of the Cohort, we cannot guarantee the confidentiality of the information you share in group interactions or within current or future technology platforms including but not limited to group chats, text threads and membership portals. You should treat any information shared in group settings as public information.
Information shared in 1:1 settings between you and Annie will be kept confidential, subject to these Terms, unless you consent otherwise.
You further agree to raise any questions or concerns about confidentiality with Mariposa Strategies when said questions or concerns arise or as soon as practicable.
Your responsibility to keep information confidential will survive the termination of TCC.
DISCLAIMERS
You understand TCC and coaching sessions are not a replacement for advice provided by a licensed professional such as therapy, legal, financial, business, and medicine as well as any professional diagnosis, opinion, or treatment.
Should you need help in one of the aforementioned areas or the like, you agree to contact the appropriate professional before, during or after your participation in TCC.
We do not guarantee any particular outcome, result, or transformation professionally, personally, or otherwise.
You understand your outcomes, results, and transformations are directly tied to the amount of time and energy you put into your participation with TCC, as well as your openness, honesty and presence.
Mariposa Strategies is not responsible for the thoughts, expressions, content or actions from other participants and guest speakers of TCC whatsoever.
The information, services, products, claims, workshop topics, and materials delivered through TCC are provided “as is” and without warranties of any kind, either expressed or implied.
We disclaim all warranties including, but not limited to, implied effectiveness of the ideas or success strategies facilitated through TCC.
TERM & TERMINATION
You agree to be bound by these Terms upon purchase.
DISPUTE RESOLUTION
Any dispute, claim, or controversy arising from or relating to these Terms must exclusively be resolved first via a good faith attempt by the Parties. In order to be considered a “good faith” attempt, the complaining Party must give the other Party written notice of the dispute within 3 days of the dispute arising or as soon as practicable. If good faith attempts fail after 30 days of receiving notice, then the Parties agree to resolve the dispute through formal mediation with a mutually agreed upon mediator. Mediation to take place in Bernalillo County, New Mexico. The Parties will share the costs of mediation services equally.
INTELLECTUAL PROPERTY
You acknowledge that by virtue of participating in TCC, you are using and sharing materials that are the intellectual property of Mariposa Strategies which include, but are not limited to, coined phrases, terminology, frameworks, worksheets, materials, program names, slogans, logos, and any other material subject to protection by trademark or copyright law. Mariposa Strategies does not grant you any license to use our intellectual property outside of what is required to facilitate TCC under these Terms. You agree not to share, duplicate or make commercial use of any intellectual property without our prior written consent.
FORCE MAJEURE
Neither Party will be liable for a failure or delay in performance to the extent caused by circumstances or an event beyond its reasonable control, except where the Impacted Party could have prevented such circumstances or event through reasonable and customary precautions. These circumstances include, but are not limited to, embargo, trade disputes, epidemic, dust storms, floods, pandemics including COVID-19, quarantines, government regulations, war, riots, earthquakes, hurricanes, lightning, work disputes and mass strikes, and acts of God as well as other circumstances of events outside of a Party’s control. Force Majeure does not include unforeseeable loss of your income, revenue, economic conditions or the impacts thereof nor does it include your technical difficulties that are within your control.
The Impacted Party agrees to notify the other Party within 24 hours if such circumstances or event occurs. The Impacted Party shall use diligent efforts to end the failure or delay and ensure the effects of such force majeure events are minimized. The other Party will be relieved of its obligations until the Impacted Party is able to resume operations. The Impacted Party shall resume the performance of its obligations as soon as practicable after the removal of the cause. Mariposa Strategies reserves the right to terminate these Terms for breach in the event you are the Impacted Party and do not take the measures described herein to respond in a diligent and timely manner as determined by Mariposa Strategies.
LIMITATION OF LIABILITY
MARIPOSA STRATEGIES LIMITS ITS LIABILITY TO THE EXTENT PERMITTED BY THE LAW, AND WILL NOT BE LIABLE FOR DAMAGES OF ANY KIND INCLUDING, BUT NOT LIMITED TO LOST PROFITS, REVENUE OR SAVINGS; LOSS OF DATA; COSTS OF ANY KIND; OR SIMILAR DAMAGES AS IT RELATES TO TCC. IN NO EVENT SHALL MARIPOSA STRATEGIES BE LIABLE TO YOU FOR ANY CLAIMS EXCEEDING THE AMOUNT PAID FOR UNDER THESE TERMS.
INDEMNIFICATION
You agree to defend, indemnify and hold harmless Mariposa Strategies and its agents from and against all third party claims, liabilities, losses, damages, costs, expenses, judgments or penalties arising out of or related to TCC or these Terms, including, but not limited to, any acts, messages, communications or events, or the impacts thereof, where you are found to act with negligence, gross negligence, fraud or intent.
ADDITIONAL TERMS
Over the Age of 18: By purchasing your membership in TCC, you certify you are over the age of 18 or have your parent or guardian’s permission to agree to these Terms.
Governing Law. These Terms shall be construed and governed by the laws of the state of New Mexico without regard to principles of conflicts of law.
Notices. All notices referenced in these Terms shall be made to the other Party in writing.
Days: All days referenced under these Terms are calendar days unless otherwise stated.
No Waiver. The failure of a party to require strict performance of any provision under these Terms by the other shall not be construed as a waiver or preclusion by such party of any right or remedy.
Assignment. Any attempt to assign or transfer the obligations under these Terms, in part or in full, without the written consent of Mariposa Strategies shall be void.
Time is of the Essence. You hereby understand and acknowledge that prompt and timely performance of their obligations under these Terms is required.
Attorneys Fees. The Parties shall be responsible for their own attorneys’ fees.
Severability. The invalidity or unenforceability of any provision under these Terms does not affect the validity or enforceability of any other provision.
Modifications. These Terms may not be amended or modified, in whole or in part, except by an express writing signed by the Parties.
Headings. The headings under these Terms are for organization only and shall not limit or otherwise affect the meaning of any provision.
ENTIRE AGREEMENT
These Terms constitute the entire understanding between the Parties as it relates to The Culture Club. You acknowledge that you have read and understand these Terms contained herein and agree to them. These Terms supersede all prior agreements, representations, or understandings whether written, oral, implied, or otherwise between you and Mariposa Strategies.
By continuing with this purchase you accept and agree to abide by these Terms.
